Obtain your Commercial Registration (CR). The CR is the official document that certifies your company’s existence and authorizes it to conduct business in Oman. You need to apply for the CR with the Ministry of Commerce and Industry (MoCI) within one month of obtaining the initial approval1.
Determine Business Activity and Legal Structure:
Before registering your company, you need to decide on the nature of your business activity (e.g., trading, manufacturing, services) and choose an appropriate legal structure.
Oman offers several options, including:
Limited Liability Companies (LLC): Common for small to medium-sized businesses.
Joint Stock Companies (SAOC): Suitable for larger enterprises.
Branch Offices: For foreign companies expanding into Oman.
Research each option’s legal and operational aspects before making a decision.
Reserve a Trade Name:
Choose a unique and suitable trade name for your company that complies with Oman’s Ministry of Commerce and Industry (MoCI) guidelines.
Submit an application to the MoCI along with the required documents and fees to reserve the trade name.
Prepare the Articles of Association (AOA):
The AOA is a legal document outlining your company’s structure, objectives, ownership, governance, and share capital.
Engage a legal consultant or law firm to assist in drafting the AOA, ensuring compliance with Omani laws.
Founders must notarize and sign the AOA before submitting it to the MoCI.
Obtain Initial Approval and Capital Deposit:
Obtain initial approval from the MoCI by submitting necessary documents, including passport copies and the AOA.
Deposit the required share capital in an Omani bank account (minimum capital varies based on legal structure and business activity).
Register the Company with the MoCI:
Submit the completed application form and required documents to the MoCI.
Depending on your business nature, you may need approvals from other relevant authorities.
Once approved, your company is officially registered.
Obtain the Commercial Registration (CR):
The CR certifies your company’s existence and authorizes it to conduct business in Oman1.
It is issued for a period of 3 years and can be renewed.
Foreigners must also obtain a residency permit or work visa to legally reside and work in Oman2.
